Introduction to Family Law and Corporate Intersection
In Bangladesh, family law is predominantly governed by personal religious laws. However, for high-net-worth individuals (HNWIs), foreign investors, and corporate directors, family law does not operate in a vacuum. The dissolution of marriage, child custody, and particularly inheritance, deeply intersect with corporate governance, taxation, and foreign exchange regulations. As an Advocate of the Supreme Court of Bangladesh, I frequently advise corporate boards on how personal succession impacts corporate stability under the Companies Act 1994 and the Income Tax Act 2023.
1. Inheritance and Corporate Succession
When a shareholder or business owner passes away, the transmission of their assets is governed by their respective personal law (e.g., Muslim Personal Law (Shariat) Application Act 1937 or the Succession Act 1925). However, the actual transfer of corporate shares, bank funds, and intellectual property is strictly regulated by statutory laws.
| Asset Type | Governing Statute | Statutory Mechanism for Heirs |
|---|---|---|
| Corporate Shares | Companies Act 1994 (Sec 42) | Transmission of shares requires a Succession Certificate from a competent civil court. Board of Directors must register the legal heirs. |
| Bank Accounts | Bank Company Act 1991 (Sec 103) | Funds are disbursed to the registered nominee. However, the nominee holds the funds in trust for the legal heirs as per personal law. |
| Intellectual Property | Patent Act 2023 (Sec 14) | Patent rights are transmissible to legal heirs. The transmission must be registered with the Department of Patents, Designs and Trademarks (DPDT). |
| Repatriable Assets | FERA 1947 & BIDA Act 2016 | Non-resident heirs inheriting assets in Bangladesh must obtain Bangladesh Bank and BIDA approvals to repatriate inherited funds. |
2. Divorce (Talaq) and Asset Division
Under Muslim law, divorce is governed by the Muslim Family Laws Ordinance (MFLO) 1961. Unlike some Western jurisdictions, Bangladesh does not have a strict "community property" law dictating a 50/50 split of marital assets upon divorce. Assets remain with the titleholder, making corporate structuring and pre-nuptial asset protection vital.
Procedural Steps for Divorce (MFLO 1961, Section 7):
- Notice of Talaq: The husband or wife (if delegated via Talaq-e-Tawfiz) must send a written notice of divorce to the local Union Parishad/City Corporation Mayor and a copy to the spouse.
- Arbitration Council: Within 30 days of receiving the notice, the Chairman must constitute an Arbitration Council to attempt reconciliation.
- Effectiveness: If reconciliation fails, the divorce becomes legally effective 90 days after the notice was received by the Chairman.
- Dower (Denmohr) & Maintenance: Upon dissolution, the wife is entitled to immediate payment of the deferred dower and maintenance for the Iddat period (3 months).
3. Child Custody (Hizanat) and Guardianship
Child custody is governed by personal laws and the Guardians and Wards Act 1890. While personal law prescribes specific ages for maternal custody (Hizanat), the secular statutory principle prioritizes the welfare of the child above all.
Landmark Principle (Abu Baker Siddique vs. S.M.A. Bakar, 38 DLR AD): The Appellate Division of the Supreme Court established that the strict rules of Hizanat under personal law can be departed from if the paramount welfare of the minor dictates otherwise. The court acts as parens patriae.
4. Tax Implications of Family Transfers
Under the Income Tax Act 2023, the transfer of property through inheritance or via a gift (Hiba) to a spouse, parent, or child is generally exempt from standard capital gains tax. However, corporate shares transferred via inheritance must be properly documented in the company's return and the individual's wealth statement (IT-10B) to avoid penal taxation.
