NON-DISCLOSURE AND CONFIDENTIALITY AGREEMENT
THIS AGREEMENT is made and entered into on this [Date], by and between:
FIRST PARTY: [First Party Name], having its principal place of business at Dhaka, Bangladesh (hereinafter referred to as the "Disclosing Party");
AND

WHEREAS, the Disclosing Party intends to disclose proprietary business information and intellectual property concerning [Scope / Purpose] under the governing laws of the People's Republic of Bangladesh.
NOW THEREFORE, in consideration of the mutual covenants herein:
1. Confidential Information shall include all technical, financial, and proprietary data.
2. The Receiving Party agrees to maintain strict confidentiality and shall not disclose such information to third parties without prior written consent.
3. This agreement is governed by the Contract Act 1872 and disputes shall be resolved through arbitration in Dhaka pursuant to the Arbitration Act 2001.
