Company Incorporation in Bangladesh

Registering a company in Bangladesh is administered by the Registrar of Joint Stock Companies and Firms (RJSC) under the Companies Act, 1994. The most common structure for both foreign and domestic investors is a Private Limited Company, which requires a minimum of two shareholders and two directors, at least one of whom must be resident in Bangladesh.

Types of Companies

  • Private Limited Company — Most common structure. Share transfer restricted. Minimum 2 shareholders, maximum 50.
  • Public Limited Company — Can offer shares to the public. Minimum 7 shareholders. Subject to additional BSEC regulations if listed.
  • One-Person Company (OPC) — Single shareholder structure introduced by amendment. Suitable for solo entrepreneurs.

Incorporation Process

The RJSC incorporation process involves name clearance, preparation of Memorandum and Articles of Association, submission of Form I, Form XII, and Form IX, payment of stamp duty and registration fees, and obtaining the Certificate of Incorporation. The entire process typically takes 7–14 working days.

For foreign shareholders, additional requirements include notarised and apostilled identity documents, Bangladesh Bank encashment certificates for capital remittances, and BIDA registration for investment approval.

LegalBD manages the entire incorporation process — document preparation, RJSC filing, name clearance, and post-incorporation statutory compliance. Get started today.
