Branch Office, Liaison Office and Representative Office Registration in Bangladesh
Foreign companies wishing to establish a presence in Bangladesh without incorporating a local subsidiary have three principal options under Bangladesh law: a Branch Office, a Liaison Office, or a Representative Office. Each carries distinct regulatory requirements and operational restrictions.
Branch Office
A branch office may carry out the same business activities as its parent company and may generate revenue in Bangladesh. Registration requires approval from the Registrar of Joint Stock Companies and Firms (RJSC) under the Companies Act, 1994, and approval from Bangladesh Bank under the Foreign Exchange Regulation Act, 1947. Annual financial statements must be filed with the RJSC.
Liaison Office
A liaison office is permitted only for promotional and coordination activities — it cannot generate revenue or enter commercial contracts in Bangladesh. It must be renewed annually with Bangladesh Bank and BIDA. Liaison offices are common for multinational companies testing the Bangladesh market before establishing a full presence.
Representative Office
Similar to a liaison office in scope, a representative office is used by foreign companies in specific sectors (particularly financial services) under regulatory frameworks established by the Bangladesh Bank or relevant sector regulator.
