Overview

Company governance has a general statutory setting, but the source-supported listed-company requirements on this page come from a separate BSEC Corporate Governance Code overlay. The page also records limited share-transfer governance points from Bangladesh practice material. It does not claim to provide a complete treatment of directors, board meetings or conflicts.

Which companies are covered

The Companies Act, 1994 provides the general company-law setting. The specific Corporate Governance Code requirements described here are limited to listed companies. They should not be read as saying that the Code applies to every public company. Private companies, unlisted public companies and listed companies must be distinguished before a governance conclusion is reached; the listed-company overlay also requires currentness checking.

Listed-company conduct and risk reporting

The supplied BSEC-related material states that listed companies must have a code of conduct for the Chairperson, Board of Directors and Chief Executive Officer. The code addresses matters including prudent conduct, conflict of interest, and relationships with the environment, employees, customers and suppliers.

The same material states that directors of listed companies have obligations under the Corporate Governance Code 2018 to report to shareholders regarding internal and external risks, including environmental impacts of the company’s operations. These statements are limited by the currency of the supplied material and should not be extended to unlisted companies without separate authority.

Share-transfer governance points

The supplied Bangladesh practice material describes a board resolution approving a share transfer and states that the Managing Director must sign and approve the transfer instrument. It further states that the RJSC will not register the transfer without that approval. Because these points are drawn from practice material rather than reproduced here from the governing legislation or a current RJSC instrument, they require human verification before being used as current filing requirements.

Practical focus

First identify the company’s status: private, unlisted public or listed. Then separate Companies Act requirements from the BSEC overlay and from practice descriptions. For a listed company, check the current Code and applicable BSEC instruments. For a share transfer, confirm the current statutory and Registrar requirements before relying on the practice points described above.

Related company-law topics

See the pages on company-law foundations, Registrar filings, and share transfers and registers. Minority remedies and winding-up remain deferred hub topics.

Currentness notice

Administrative forms, fees, deadlines and regulatory procedures can change; check the current BSEC, RJSC and other applicable official materials before acting.

Sources and review status

The internal source notes identify the BSEC-related and practice-material passages, their classifications and pinpoints. This page remains CONCISE INFORMATIONAL GUIDE — HUMAN APPROVAL REQUIRED and is PLATFORM-NEUTRAL.
